Terms of Service

These Terms of Service ("Terms") govern your access to and use of Doctorita's AI-powered clinical documentation platform (the "Service"). By creating an account or using our Service, you agree to be bound by these Terms.

If you are using Doctorita on behalf of an organization (such as a medical practice or healthcare institution), you represent and warrant that you have authority to bind that organization to these Terms.

We may modify these Terms at any time. If we make material changes, we will notify you via email or through the Service. Your continued use after changes are posted constitutes acceptance of the new Terms.

You must be at least 18 years old and a licensed healthcare provider or authorized medical staff member to use Doctorita for clinical purposes.

When you create an account, you must provide accurate, current, and complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

You must immediately notify us of any unauthorized access or security breach at security@doctorita.com.

One account per user is permitted. Sharing account credentials with others is strictly prohibited.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for legitimate clinical documentation purposes.

You may use Doctorita to record patient consultations, generate transcriptions, create clinical summaries, manage patient records, and utilize our AI assistant features.

You are solely responsible for obtaining proper consent from patients before recording consultations and ensuring compliance with all applicable healthcare privacy laws.

You may not use Doctorita to: (a) violate any applicable laws or regulations; (b) infringe on intellectual property or privacy rights of others; (c) transmit harmful code, viruses, or malware; (d) attempt to gain unauthorized access to our systems; (e) interfere with the proper functioning of the Service; (f) use the Service for any illegal or fraudulent purpose.

You may not reverse engineer, decompile, or attempt to extract the source code of our Service or AI models.

You may not use automated means (bots, scrapers) to access the Service without our prior written permission.

You may not sublicense, resell, or commercially exploit the Service without authorization.

You retain ownership of all data you input into Doctorita, including patient records, audio recordings, and clinical notes ("User Content").

By using our Service, you grant us a limited license to process, store, and use your User Content solely to provide and improve the Service. This includes using AI models (OpenAI Whisper and GPT-4) to generate transcriptions and summaries.

You represent and warrant that you have all necessary rights and permissions to upload User Content to our Service and that it does not violate any laws or third-party rights.

We do not claim ownership of your User Content. Data processed through AI services is not used to train third-party models.

The Service, including its software, design, features, and AI technology, is owned by Doctorita and protected by copyright, trademark, and other intellectual property laws.

Our trademarks, logos, and brand elements may not be used without our prior written consent.

Clinical templates you create within Doctorita remain your property. Any templates marked as "shared" or "public" grant other users the right to use them.

Doctorita offers a free Basic plan with limited features and paid plans (Pro, Clinic, Enterprise) with expanded capabilities. Detailed pricing is available at https://doctorita.com/pricing.

Paid subscriptions are billed monthly or annually in advance. You authorize us to charge your chosen payment method for recurring subscription fees.

All fees are non-refundable except as required by law or as stated in our refund policy. If you downgrade or cancel mid-cycle, you will retain access to paid features until the end of your billing period.

We reserve the right to change pricing with 30 days' notice for existing customers. Price changes will take effect at your next billing cycle.

Failure to pay subscription fees may result in suspension or termination of your account.

IMPORTANT: Doctorita uses artificial intelligence to generate transcriptions and clinical summaries. While we strive for accuracy, AI-generated content may contain errors or inaccuracies.

Healthcare providers are solely responsible for reviewing, verifying, and approving all AI-generated content before using it for clinical decisions or medical records.

Doctorita is a documentation tool and does not provide medical advice. It should not be used as a substitute for professional medical judgment.

We provide audio citations linking AI-generated summaries to the original recordings to facilitate verification.

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. Scheduled maintenance will be communicated in advance when possible.

We reserve the right to modify, suspend, or discontinue any features of the Service at any time. We will provide reasonable notice for significant changes affecting core functionality.

We may impose usage limits (storage, transcription minutes, API calls) based on your subscription tier.

While we maintain regular backups, you are responsible for maintaining your own backup copies of critical clinical data.

We are not liable for any data loss or corruption except as caused by our gross negligence or willful misconduct.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCTORITA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU.

You agree to indemnify and hold Doctorita harmless from any claims, damages, or expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of applicable laws; or (d) your User Content.

You may terminate your account at any time by contacting support@doctorita.com. Upon termination of paid plans, you will not receive a refund for the current billing period.

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in fraudulent activity. We will provide notice when possible, but immediate termination may occur for serious violations.

Upon termination, your access to the Service will cease. You may request a data export of your User Content within 30 days of termination (90 days for Clinic and Enterprise plans).

Sections of these Terms that by their nature should survive termination (including intellectual property rights, limitations of liability, and dispute resolution) will continue to apply.

These Terms are governed by the laws of Romania, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes will be resolved in the courts of Bucharest, Romania.

You agree to resolve disputes individually and waive any right to participate in class actions.

Entire Agreement: These Terms, together with our Privacy Policy and GDPR Compliance documentation, constitute the entire agreement between you and Doctorita.

Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full effect.

No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these Terms. We may assign our rights without restriction.
